Electric vehicle manufacturer Faraday Future, FFAI, is upgrading its strategy toward robotaxis, EAI-based intelligent cabins and investments in physical AI.
At the same time, AIxC is proposed to acquire and consolidate FFAI’s robotics assets at a market-based valuation of approximately 200 million dollars. The boards of both companies have approved a term sheet.
AIxC will change its name to FF EAI Robotics Ecosystem on September 30 and its Nasdaq ticker to FFR. Following the transaction, FFAI is expected to become the largest controlling shareholder and, depending on its ownership stake and accounting rules, consolidate FFR’s results.
Through August, the robotics business had sold and delivered 552 units. Revenue amounted to approximately 1.52 million dollars and the gross margin in the second quarter exceeded 30 percent.
Management’s preliminary forecast points to positive operating cash flow in the third quarter of 2028 and revenue of approximately 7.1 million dollars in 2026 and 45.17 million dollars in 2027.
The new information is that the proposed acquisition will be conducted entirely in shares. The price per share will be the lower of 2.246 dollars or the average closing price during the five days preceding the signing. If the price is below 2.246 dollars, a special dividend to existing shareholders is planned, conditional on the transaction being completed. At 2.246 dollars per share, FFR is valued at approximately 55 million dollars on a fully diluted basis before the transaction.
The 2026–2030 forecast includes cumulative revenue of approximately 1.98 billion dollars, a gross margin expected to reach approximately 54 percent in 2030 and cumulative sales of more than 130,000 EAI units. For 2026 and 2027, the targets are 2,001 and 7,400 units, respectively. The forecasts have been prepared by FFAI’s management and have not been adopted as guidance by FFR.
