Agilent to acquire Proscia for up to USD 270 million

US-based Agilent Technologies has entered into an agreement to acquire Proscia, a provider of digital pathology software, for USD 240 million in cash. An additional USD 30 million may be payable depending on future performance targets.

The acquisition is intended to strengthen Agilent’s position in digital pathology and AI-based diagnostics. Proscia provides software to more than 4,000 laboratories, hospitals and clinics, as well as 16 of the world’s 20 largest pharmaceutical companies.

Proscia has revenue of more than USD 18 million over the past twelve months and operates in a pathology market valued at USD 5 billion.

The transaction is expected to close at the beginning of Agilent’s 2027 fiscal year, subject to customary conditions being met. Proscia will thereafter become part of the Life Sciences and Diagnostics Markets Group business segment.
